Terms of Service

These Terms of Service (hereinafter the "Terms") govern the rights and obligations between the operator of the Ascera service and its users. They are effective as of May 20, 2026.

2. Scope of the Terms

These Terms govern access to and use of the Ascera platform — a SaaS tool for monitoring and optimizing brand visibility in AI-generated responses (known as Generative Engine Optimization, or "GEO"). The platform tracks how users' brands appear, rank, and are perceived in the responses of AI models (ChatGPT, Perplexity, Gemini, and others), and provides insights and recommendations to improve that visibility (hereinafter the "Services").

These Terms apply to all plans and configurations of the Services available on the website https://www.ascera.app (hereinafter the "Website").

3. Who Can Use the Service

The Ascera service is intended exclusively for business users — legal entities (such as limited liability companies and joint-stock companies) and self-employed individuals (sole traders). By registering or paying for a subscription, the user confirms that they are acting in the course of their business activities and not as a consumer within the meaning of Slovak Act No. 250/2007 Coll. on Consumer Protection. Consumer protection regulations therefore do not apply to the relationship between the parties.

4. Entering Into the Agreement and Acceptance of Terms

By creating an account on the Website or paying for a subscription, the User agrees to these Terms and undertakes to comply with them. The agreement for the provision of Services (hereinafter the "Agreement") is deemed concluded upon successful completion of registration and payment of the first subscription fee.

If you do not agree to these Terms, you are not authorized to use the paid features of the Service.

5. Registration and User Account

Registration requires providing an email address and password. The User is required to provide accurate and up-to-date information. The User is responsible for safeguarding their login credentials and for all activity carried out under their account.

The Provider reserves the right to suspend or terminate the User's account in the event of a breach of these Terms or suspected misuse of the Services.

6. Pricing and Payment Terms

Current pricing is available at https://www.ascera.app/#pricing. There is no free plan; all plans are paid. All prices displayed on the Website are final and include VAT. The Service is not offered on a VAT-exclusive basis.

Payments are processed through the Stripe payment gateway. The Provider does not have access to the User's payment card details. A tax receipt (invoice) is issued automatically through Stripe and sent to the User's email address.

6.1 Plan Configuration

Ascera offers fully customizable plans. Users can configure the number of tracked AI models (ChatGPT, Perplexity, Gemini), the number of prompts, personas, monitoring frequency, AI Creator articles, and other parameters. The preset configurations (Starter, Pro, Enterprise) serve as suggested starting points.

6.2 Billing Cycle

Subscriptions are billed monthly. The billing cycle begins on the date the subscription is activated and renews automatically at the start of each subsequent billing month.

6.3 Auto-Renewal

Subscriptions renew automatically at the start of each billing period. Cancellation is available at any time through the account settings or the Stripe customer portal.

6.4 Failed Payment

If a payment fails, the User will be notified by email. If the payment is not settled within 7 days, access to the Services will be suspended until the outstanding balance is paid.

7. Money-Back Guarantee

The Provider offers a 30-day money-back guarantee exclusively for the base Starter plan (up to €20/month inclusive). If the User is not satisfied with the Services within the first 30 days of activating their subscription, they may contact the Provider at info@ascera.app and receive a full refund — no questions asked.

Plans configured above the standard Starter values (additional prompts, models, AI Creator articles, etc.) are not eligible for the money-back guarantee.

Refunds will be issued using the same payment method as the original transaction, without undue delay and no later than 14 days from receipt of the request.

8. Duration and Termination

The Agreement is concluded for an indefinite period. The User may cancel their subscription at any time through the account settings or by sending a written request to info@ascera.app.

Upgrades take effect immediately — the price difference is prorated for the remainder of the billing month.

Downgrades and cancellations take effect at the end of the current billing month. All features remain active until that date.

Upon termination of the subscription or deletion of the account, the User's personal data (email address, name, login credentials, account configuration) will be deleted within 30 days. The User may also request immediate deletion of their personal data at any time — during or after the term of the Agreement — by sending a request to info@ascera.app. The Provider will process the request without undue delay, within 14 days at the latest.

The deletion of personal data does not affect:

The Provider reserves the right to terminate the User's access immediately in the event of a material breach of these Terms.

10. Data Processing Through Third-Party AI Services

To deliver the Services, Ascera uses third-party services — specifically OpenAI (ChatGPT), Google (Gemini), and Perplexity — to send prompts and retrieve responses. Prompts entered by the User (or by the Provider on behalf of the User) and the results obtained from these AI services are stored in the Provider's database on servers hosted on AWS infrastructure within the European Union.

The User acknowledges that:

Upon account deletion, the User's personal data will be erased in accordance with Section 8 of these Terms. Anonymized monitoring results (AI model responses relating to brands and domains, not to natural persons) may be retained after account deletion for the purpose of improving the Services.

12. Warranties and Limitation of Liability

The Ascera platform is provided on an "as is" basis. The Provider makes no warranties regarding specific monitoring results, improvements in AI search visibility, or the accuracy of data obtained from third parties (OpenAI, Google, Perplexity). Monitoring results and recommendations are informational in nature.

The Provider's total liability for damages arising from or in connection with the use of the Service is limited to the amount of subscription fees paid by the User during the 3 months preceding the event giving rise to the claim. The Provider shall not be liable for indirect, incidental, or consequential damages, loss of profit, or loss of data.

The Provider shall not be liable for outages or changes in third-party services (OpenAI, Google, Perplexity, Stripe, AWS) that are beyond its control.

13. Intellectual Property

The Ascera platform, including its software, design, logo, brand, and content, is the intellectual property of the Provider. By registering and paying for a subscription, the User is granted a non-exclusive, non-transferable license to use the platform solely for their own business purposes for the duration of their subscription.

Data entered by the User into the system (URLs, brand names, prompts, configuration) remains the property of the User. Monitoring results generated by the platform based on the User's data may be freely used by the User for their own business purposes.

The Provider is entitled to use anonymized and aggregated statistical data to improve the Services.

14. Complaints

Complaints and inquiries related to the Service should be sent to info@ascera.app. Complaints will be resolved within 30 days of receipt.

15. Personal Data Protection

The processing of personal data is governed by the separate Privacy Policy available at https://www.ascera.app/privacy.

16. Cookies

Information about the use of cookies and tracking technologies can be found in the Cookie Policy available at https://www.ascera.app/cookies.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Slovak Republic. Any disputes arising from or in connection with these Terms shall be resolved by the competent courts of the Slovak Republic.

As the Service is intended exclusively for business users, the provisions on alternative consumer dispute resolution and the ODR platform do not apply.

18. Amendments to the Terms

The Provider reserves the right to amend these Terms at any time. The User will be notified of any material changes by email at least 30 days in advance. Continued use of the Service after the amendments take effect constitutes acceptance of the updated Terms. If the User does not agree with the changes, they may cancel their subscription without penalty before the amendments take effect.

19. Final Provisions

If any provision of these Terms is found to be invalid or unenforceable, this shall not affect the validity of the remaining provisions. The invalid provision shall be replaced by a provision that most closely reflects the purpose and economic intent of the original.
